Welcome to Catylst. These Terms of Service ("Terms") govern your access to and use of the Catylst platform, including our website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Section 1Acceptance of Terms
By creating an account or accessing any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Catylst, Inc.
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Section 2Description of Service
Catylst is a recommendation preparation platform that helps donors, churches, financial advisors, and foundations discover and evaluate charitable organizations using cited, multi-dimensional diligence. The Service includes:
- AI-powered organization matching across ten diligence dimensions
- Cited match explanations with traceable source references
- Deal rooms for collaborative grant evaluation
- Grant recommendation packages formatted for DAF custodian submission
- Impact tracking and stewardship reporting tools
Catylst is not a Donor-Advised Fund custodian. We do not custody, hold, or transfer charitable funds. All grant recommendations prepared through the Service require approval and execution by your DAF custodian or qualified intermediary.
Catylst does not provide financial, tax, legal, or investment advice. The information and recommendations provided through the Service are for informational purposes only and should not be construed as professional advice of any kind.
Section 3Account Registration
To access most features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and account credentials
- Promptly update your account information if it changes
- Accept responsibility for all activity that occurs under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years of age to create an account. Catylst reserves the right to refuse service, terminate accounts, or remove content at our sole discretion.
If you register as part of an organization (church, foundation, or advisory firm), the organization administrator is responsible for managing team access and ensuring compliance with these Terms.
Section 4Subscription and Billing
Catylst offers both free and paid subscription tiers. By selecting a paid plan, you agree to the following:
- Billing cycle. Subscriptions are billed monthly or annually, depending on the plan you select. The billing cycle begins on the date of your initial purchase.
- Payment processing. All payments are processed by Stripe. We do not store your credit card information. Stripe's terms of service apply to payment processing.
- Automatic renewal. Paid subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.
- Price changes. We may change subscription prices with at least thirty (30) days' written notice. Price changes take effect at the start of your next billing cycle.
- Refunds. We offer a full refund within fourteen (14) days of your initial subscription purchase if you are not satisfied. After this period, fees are non-refundable except as required by applicable law.
- Cancellation. You may cancel your subscription at any time from your account settings. Upon cancellation, you retain access to paid features until the end of your current billing period.
Free-tier accounts remain active indefinitely, subject to our right to suspend or terminate accounts for inactivity exceeding twelve (12) consecutive months.
Section 5Intellectual Property
The Service and its original content (excluding user-generated content), features, and functionality are owned by Catylst, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Our trademarks, service marks, logos, and trade names may not be used without our prior written consent. Nothing in these Terms grants you any right to use our trademarks or brand assets.
The AI-generated match explanations, diligence summaries, and grant recommendation packages produced by the Service are provided to you under a limited license for your personal or organizational use. You may share grant recommendation packages with your DAF custodian, board members, or financial advisors. You may not resell, redistribute, or commercially exploit these outputs without our written permission.
Section 6User Content
You retain ownership of all content you submit to the Service, including profile information, faith statements, uploaded documents, notes, and deal room contributions ("User Content").
By submitting User Content, you grant Catylst a limited, non-exclusive, royalty-free license to use, process, and display your content solely for the purpose of operating and improving the Service. This license terminates when you delete your content or your account.
You represent and warrant that:
- You own or have the necessary rights to submit your User Content
- Your User Content does not infringe on the intellectual property rights of any third party
- Your User Content does not contain false or misleading information about charitable organizations
- Your User Content complies with all applicable laws and regulations
Faith data. Faith-related profile fields (including Christian identity, ministry orientation, and faith statements) are classified as special category data under GDPR Article 9. These fields are only processed with your explicit consent, are never shared with third parties, and are never used to train external AI models. You may withdraw consent and delete faith data at any time from your account settings. See our Privacy Policy for full details.
Section 7Prohibited Uses
You agree not to use the Service to:
- Submit false, misleading, or fraudulent information about yourself or any organization
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity
- Scrape, crawl, or use automated means to extract data from the Service without our written permission
- Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service
- Upload malicious code, viruses, or any software intended to damage or alter the Service
- Use the Service to send unsolicited communications or spam
- Circumvent, disable, or interfere with any security features of the Service
- Use AI-generated outputs from the Service to create competing products or services
- Misrepresent Catylst's role as a fund custodian, financial advisor, or grant-making entity
- Use the Service in any manner that violates applicable local, state, national, or international law
Violation of these restrictions may result in immediate termination of your account without notice or refund.
Section 8Disclaimers
Not a DAF custodian. Catylst is a recommendation preparation tool. We do not custody funds, execute grants, or serve as a Donor-Advised Fund sponsor. All grant recommendations generated through the Service are non-binding suggestions that require approval and execution by your DAF custodian.
Not financial advice. Nothing on the Service constitutes financial, tax, legal, or investment advice. The information provided is for informational purposes only. You should consult with qualified professionals before making financial decisions.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Catylst does not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- The quality of any information, match recommendations, or other material obtained through the Service will meet your expectations
- Any organization recommended by the Service is suitable for your specific charitable goals
AI outputs. The Service uses artificial intelligence to generate match explanations, diligence summaries, and grant recommendation text. While we employ citation verification, source grounding, and human review processes to ensure accuracy, AI-generated content may contain errors. You are responsible for reviewing all outputs before relying on them. We provide a "Report an error" mechanism on every AI-generated surface.
Organization information. Information about charitable organizations displayed on the Service is sourced from public filings, self-reported data, and third-party databases. Catylst does not independently verify every claim made by organizations listed on the platform. Our trust badges indicate the level of verification each organization has undergone, but they do not constitute an endorsement.
Section 9Limitation of Liability
To the maximum extent permitted by applicable law, Catylst, Inc., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, use, or goodwill
- Damages resulting from grant recommendations made based on information provided through the Service
- Damages resulting from unauthorized access to or alteration of your data
- Damages resulting from any third party's conduct or content on the Service
- Any other matter relating to the Service
In no event shall our total aggregate liability to you for all claims arising out of or relating to the use of the Service exceed the greater of (a) the amount you have paid to Catylst in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
Section 10Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:
- Violation of these Terms or our Privacy Policy
- Engagement in prohibited uses as described in Section 7
- Fraudulent, abusive, or illegal activity
- Extended inactivity (twelve or more consecutive months on a free-tier account)
- Non-payment of subscription fees
Upon termination:
- Your right to access the Service ceases immediately
- You may request an export of your User Content within thirty (30) days of termination by emailing support@catylst.com
- We will delete your account data within thirty (30) days, subject to any legal retention obligations
- Sections 5, 8, 9, 11, and 12 survive termination
You may terminate your account at any time from your account settings or by emailing support@catylst.com.
Section 11Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware. You consent to the personal jurisdiction and venue of such courts.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
